PLEASE READ THESE TERMS CAREFULLY. By installing, configuring, or operating this software (“Audnax Files,” the “Software”), you (“you,” the “Operator”) agree to be bound by these Terms and by the license referenced in Section 2. If you do not agree, do not install or operate the Software.

1. The agreement

These Terms form a binding agreement between you and audnax.com (“the Author”), the provider of the Software. You confirm that you are at least the age of majority in your jurisdiction and that, if you are accepting on behalf of an organization, you have the authority to bind it.

2. License — noncommercial

The Software is licensed, not sold, under the PolyForm Noncommercial License 1.0.0. In plain terms: you may use, study, modify, and share the Software for any noncommercial purpose, provided you keep the Author’s notices intact. Commercial use — including selling the Software, or charging for a product or service built on it — is not granted by that license and requires a separate written license from the Author. The full license text ships with the Software (LICENSE.md) and is authoritative.

Contributions welcome. Improvements are encouraged — if you build something others would benefit from, please share it back with audnax.com so the wider community gains from it.

3. “As is” — no warranty

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AUTHOR DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

The Author does not warrant that the Software will be uninterrupted, timely, secure, or error-free, that defects will be corrected, that it is free of harmful components, or that it will meet your requirements or prevent data loss or unauthorized access.

4. Your responsibilities as Operator

You are solely responsible for your deployment and everything that occurs on it, including:

• Hosting & security — securing the server, operating system, web server, PHP runtime, network, and database; applying updates and patches; configuring TLS/HTTPS; and otherwise hardening the installation.
• Access control — managing accounts, roles, passwords, two-factor settings, and share links, and deciding who may view, upload, edit, or download files.
• Storage credentials — providing and safeguarding any third-party storage credentials (e.g. Amazon S3, FTP) you configure. The Author never receives them.
• Backups — maintaining your own backups of your database, encryption key, and files. Loss of the encryption key may make encrypted data unrecoverable.
• Content — all files and data you or your users upload, store, share, or distribute, and ensuring you hold the rights to do so.
• Legal compliance — complying with all laws that apply to you and your users, including data-protection and privacy laws (such as the GDPR or CCPA where applicable), export controls, and rules governing the content you host or transmit.

5. Security

The Software includes security features, but no software is perfectly secure. You acknowledge that you operate the Software at your own risk, that you are responsible for assessing its suitability and security for your intended use, and that the Author is not liable for any unauthorized access to, alteration of, or loss of your data or your users’ data.

6. No access to your data

The Software runs entirely on infrastructure that you control. The Author does not host, access, monitor, or process your data, files, or credentials, and has no ability to recover them on your behalf.

7. Third-party components

The Software may include or rely on third-party libraries and services (for example, the AWS SDK and the Quill editor), each governed by its own license and terms. The Author makes no warranty regarding, and accepts no liability for, any third-party component or service.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AUTHOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SOFTWARE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE AUTHOR’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED USD $0.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

9. Indemnification

You agree to defend, indemnify, and hold harmless the Author from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your installation or operation of the Software, your content, your users, or your breach of these Terms or of applicable law.

10. No support obligation

Unless separately agreed in writing, the Author has no obligation to provide maintenance, updates, or support of any kind.

11. Changes to the Software and these Terms

The Author may change the Software and these Terms in future versions. Your continued installation or operation of a version after accepting its Terms constitutes your acceptance of those Terms for that version.

12. Governing law

These Terms are governed by the laws of the State of Alabama, United States of America, without regard to its conflict-of-laws rules.

13. Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force, and the unenforceable provision will be enforced to the maximum extent permitted by law.

14. Acceptance

By checking “I have read and agree to these Terms” and proceeding with installation, you acknowledge that you have read, understood, and agreed to these Terms and the PolyForm Noncommercial License 1.0.0, and that you have the authority to accept them.
